Please read these Terms and Conditions ("Terms") carefully before using MenjiApp (the "Service").
Interpretation and Definitions
Interpretation
Words with an initial capital letter have the meanings defined below, whether they appear in the singular or plural.
Definitions
For the purposes of these Terms and Conditions:
- Account means a unique account created for a School, School Administrator, Teacher, Parent, or Student to access the Service.
- Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or voting securities.
- Application means the software program provided by the Company, named MenjiApp, downloaded or accessed by You on any electronic device.
- Application Store means the digital distribution service operated by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) through which the Application may be downloaded.
- Company (referred to as "the Company," "We," "Us," or "Our") refers to Iperlinks, Kinshasa, Democratic Republic of the Congo.
- Content means text, images, information, data, or other material, in any form, whether provided by the Company or by Users.
- Country refers to: Democratic Republic of the Congo.
- Device means any device that can access the Service, such as a computer, phone, or tablet.
- Feedback means suggestions, ideas, comments, or other feedback about the Service provided by You.
- Institution / School means the educational organization that has subscribed to the Service and on whose behalf School Administrators, Teachers, Parents, and Students hold Accounts.
- Parent means a parent or legal guardian of a Student who has been granted access to the Service.
- School Administrator means a User authorized by an Institution to manage that Institution's Accounts, data, and configuration on the Service.
- Service refers to the Application and/or the Website.
- Student means a learner enrolled by an Institution whose Account is used to access learning, attendance, or related features of the Service.
- Subscription means the paid or free-tier plan purchased or activated by an Institution or User to access features of the Service on a recurring basis.
- Teacher means a User authorized by an Institution to manage classes, attendance, grading, or communication features.
- Terms and Conditions (also referred to as "Terms") means these Terms and Conditions, which govern Your access to and use of the Service and form the entire agreement between You and the Company regarding the Service.
- Third-Party Social Media Service means any service or content provided by a third party that is displayed, included, made available, or linked to through the Service.
- User Content means any Content that a User creates, uploads, posts, or submits through the Service.
- Website refers to MenjiApp, accessible from https://menjiapp.com.
- You means the individual accessing or using the Service, or the School or other legal entity on whose behalf that individual is acting, as applicable.
Acknowledgment
These Terms govern the use of the Service and the agreement between You and the Company, and set out the rights and obligations of all Users. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms, which apply to all visitors, Users, and others who access or use the Service.
By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.
Your access to and use of the Service is also subject to Our Privacy Policy, which describes how We collect, use, and disclose personal information. Please read Our Privacy Policy carefully before using Our Service.
Eligibility and Age Requirements
The Service is designed for use by Institutions and involves several distinct Account types:
- School Administrators, Teachers, and Parents must be at least 18 years old, or the age of legal majority in their jurisdiction, and represent that they have the authority to accept these Terms on their own behalf or, where applicable, on behalf of the Institution they represent.
- Student Accounts are created and administered by the Institution (and, where applicable, linked to a Parent Account), not independently agreed to by the Student. The Institution is responsible for obtaining any consent required by applicable law (from a Parent or otherwise) before creating a Student Account and submitting the Student's information to the Service.
- An Institution enrolling Students on the Service represents that it has the authority and legal basis needed to do so, including compliance with any applicable education, privacy, or child-protection laws in its jurisdiction.
The Company does not knowingly permit a Student to create or manage their own Account independently of their Institution.
Accounts
When You create an Account, or an Account is created on Your behalf by an Institution, You must ensure that any information provided is accurate, current, and complete. Failure to do so constitutes a breach of these Terms and may result in immediate termination of Your Account.
You are responsible for safeguarding the password and any credentials used to access the Service, and for any activity or actions taken under Your Account, whether or not You authorized them. Notify the Company immediately upon becoming aware of any unauthorized use of Your Account.
School Administrators are responsible for managing the creation, roles, permissions, and deactivation of Teacher, Parent, and Student Accounts within their Institution, and for ensuring that Account access is limited to individuals authorized to use the Service on the Institution's behalf.
You may not use as a username or Account identifier the name of another person, an offensive or vulgar term, or a name that infringes any third-party right, without appropriate authorization.
User Content
The Service allows Users to create, upload, post, or share User Content, such as assignments, messages, comments, grades, profile pictures, or other materials submitted while using the Service.
You retain any ownership rights You have in Your User Content. By submitting User Content through the Service, You grant the Company a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, adapt, publish, and display that User Content solely as necessary to operate, provide, secure, and improve the Service on behalf of You and the applicable Institution.
You are solely responsible for the User Content You submit and for ensuring You have all rights necessary to submit it. You represent that Your User Content does not and will not:
- Infringe the intellectual property, privacy, or other rights of any third party;
- Contain material that is unlawful, defamatory, harassing, obscene, or otherwise objectionable, particularly given the Service's use by Students;
- Violate any applicable Institution policy or code of conduct.
The Company reserves the right, but has no obligation, to monitor, remove, or restrict access to any User Content that violates these Terms or that the Company reasonably believes is harmful to the Service, other Users, or third parties.
Subscriptions
Subscription Plans
Certain features of the Service are available only through paid Subscription plans, which may be purchased by an Institution or by an individual User, as applicable. Free-tier plans may be offered with limited features, usage limits, and/or advertising, as described in Our Privacy Policy.
Billing and Renewal
Where a Subscription is paid, You will be billed in advance on a recurring basis (e.g., monthly or annually), depending on the billing cycle You select. At the end of each billing period, Your Subscription will automatically renew under the same conditions, unless You or the Institution cancels it, or the Company cancels it.
Cancellation
You, or the Institution administering Your Account, may cancel a Subscription at any time through the Account settings, or by contacting the Company. Cancellation will take effect at the end of the current billing period; You will not receive a refund for the remaining portion of a period already paid for, except as required by applicable law or as separately agreed in an Institution's subscription agreement.
Fee Changes
The Company may, at its sole discretion and at any time, modify Subscription fees. Any fee change will become effective at the end of the then-current billing cycle, and the Company will provide reasonable prior notice to allow You or the Institution to cancel before the change takes effect.
Refunds
Except as expressly stated in these Terms or required by applicable law, paid Subscription fees are non-refundable.
Free Trials
The Company may, at its sole discretion, offer a Subscription with a free trial for a limited period. Billing information may be required at the time of sign-up. If billing information is provided and You do not cancel before the free trial expires, You will automatically be charged the applicable Subscription fee.
Intellectual Property
The Service, and its original content (excluding User Content), features, and functionality — including the Company's logo, visual design, branding, trademarks, and underlying software — are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company. Nothing in these Terms grants You any right, title, or interest in the Company's intellectual property, other than the limited right to use the Service in accordance with these Terms.
Feedback
If You provide the Company with any Feedback about the Service, You acknowledge and agree that the Company may use, implement, and incorporate such Feedback into the Service, in whole or in part, without any obligation to compensate You, attribute the Feedback to You, or keep it confidential. You hereby grant the Company a perpetual, irrevocable, royalty-free, worldwide license to use such Feedback for any purpose related to the Service.
Promotions, Contests, and Sweepstakes
The Company may, from time to time, make available promotions, contests, or sweepstakes (each, a "Promotion") through the Service. Each Promotion may be governed by specific official rules, which are separate from these Terms. If the rules for a particular Promotion conflict with these Terms, the Promotion-specific rules will govern for the duration and purposes of that Promotion.
Promotions may be subject to eligibility requirements (such as jurisdiction, age, or Account type), and may be void where prohibited by law. The Company reserves the right to modify, suspend, or cancel any Promotion at its sole discretion, including where a Promotion cannot be conducted as originally planned due to fraud, technical failure, or any other cause impairing the integrity of the Promotion.
Links to Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.
Links from a Third-Party Social Media Service
The Service may display, include, make available, or link to content or services provided by a Third-Party Social Media Service. A Third-Party Social Media Service is not owned or controlled by the Company, and the Company does not endorse or assume responsibility for any Third-Party Social Media Service.
You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with Your access to or use of any Third-Party Social Media Service, including any content, goods, or services made available through them. Your use of any Third-Party Social Media Service is governed by that Third-Party Social Media Service's terms and privacy policies.
Termination
We may terminate or suspend Your Account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if You breach these Terms. Where an Account belongs to a Student, the Company will generally coordinate termination or suspension with the enrolling Institution, except where immediate action is necessary to protect the Service, other Users, or comply with law.
Upon termination, Your right to use the Service will cease immediately.
Limitation of Liability
Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms, and Your exclusive remedy for all of the foregoing, shall be limited to the amount actually paid by You (or Your Institution) through the Service, or 100 USD if You haven't purchased anything through the Service.
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury, or loss of privacy) arising out of or related to the use of or inability to use the Service, third-party software or hardware used with the Service, or otherwise in connection with any provision of these Terms, even if the Company or a supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Some states or jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so some of the above limitations may not apply. In such jurisdictions, each party's liability will be limited to the greatest extent permitted by law.
"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects, without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties arising out of course of dealing, course of performance, usage, or trade practice. Without limiting the foregoing, the Company provides no warranty or representation that the Service will meet Your requirements, achieve any intended results, be compatible with any other software or systems, operate without interruption, meet any performance or reliability standard, or be error-free, or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither the Company nor any of its providers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included on it; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs, or other harmful components.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. In such cases, the exclusions and limitations in this section will apply to the greatest extent enforceable under applicable law.
Governing Law
The laws of the Country, excluding its conflict of law rules, shall govern these Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.
Disputes Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
For European Union (EU) Users
If You are a European Union consumer, You will benefit from any mandatory provisions of the law of the country in which You are resident.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
Translation Interpretation
These Terms and Conditions may have been translated if We have made them available to You on Our Service. You agree that the original English text shall prevail in the case of a dispute.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service. Where changes materially affect an Institution's Subscription terms, the Company will provide notice to the Institution's designated School Administrator in addition to any general notice posted on the Service.
